1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Arunkumar Chaubey, an individual resident of India, doing business as Porcia, governing your access to and use of the Porcia platform.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use the Service.

2. The Service

Porcia is an AI-powered SaaS management platform that enables you to:

• Discover vendors by forwarding emails or connecting via OAuth
• Discover applications via Google Workspace, Azure AD, or Okta SSO
• Track SaaS usage and detect shadow IT (via browser extension - planned)
• Receive AI-generated contract analysis and negotiation drafts
• Access pricing benchmarks and market insights

2.1 What Porcia Is NOT

• Not legal advice - we provide informational recommendations only
• Not a financial advisor - pricing insights are informational
• Not a security product - we're a SaaS management platform, not a CASB
• Not HIPAA compliant - do not use for Protected Health Information
• Not guaranteed - we use best efforts but don't guarantee 100% accuracy

3. Account Registration

• You must provide accurate information
• You must be at least 16 years old
• You are responsible for account security
• Notify us immediately of unauthorized access: security@porcia.org

4. Email Integrations

4.1 Email Forwarding

When you forward emails to your Porcia address, you authorize us to:

• Receive, store, and process email content and attachments
• Extract vendor information, pricing, and contract terms
• Use AI to classify and analyze emails
• Display insights in your dashboard

4.2 Your Representations

By forwarding emails, you represent that:

• You have the legal right to share those emails with Porcia
• You are not violating any confidentiality obligations
• You will not forward sensitive personal information unless necessary
• If forwarding company emails, you have authorization to do so

4.3 Google API Compliance

Our use of Google APIs adheres to the Google API Services User Data Policy, including Limited Use requirements.

5. SSO Integrations

5.1 Customer Responsibilities

By connecting SSO, the Customer represents that:

• They have legal authority to share employee data with Porcia
• They have provided appropriate notice to employees
• They have obtained necessary consents where required
• They understand Porcia processes SSO data as a data processor

5.2 Employee Data

• Porcia processes employee data only on the Customer's behalf
• Porcia will not use employee data for any other purpose
• Porcia will not contact employees directly except as necessary for the Service

6. AI-Powered Features

6.1 How AI Is Used

Porcia uses Microsoft Azure OpenAI Service (via Azure AI Foundry) for AI-powered features including email analysis, contract review, vendor intelligence, and automation.

6.2 Human-in-the-Loop

Porcia never takes action without your approval:

• AI-generated emails are presented as drafts
• You must explicitly approve and send
• Porcia will never send emails or commit to terms on your behalf

6.3 Limited Agent Authority

While described as an "AI agent," Porcia:

• Has no authority to sign contracts or bind you
• Has no authority to make financial commitments
• Provides recommendations only - all decisions are yours

6.4 AI Accuracy and Limitations

• AI may misclassify emails or extract incorrect data
• AI-generated strategies may not achieve desired results
• AI analyses are not a substitute for professional legal review
• You are solely responsible for reviewing and acting on AI content
• Porcia is not liable for outcomes from reliance on AI

6.5 No Training on Customer Data

We do not use your data to train AI models. Azure OpenAI does not train on customer inputs. AI logs are retained for 30 days for debugging, then deleted.

7. Subscription and Billing

7.1 Plans

7.2 Billing

• Billed in advance (monthly or annually)
• Processed by Dodo Payments
• Auto-renewal unless cancelled
• Price changes with 30 days' notice

7.3 Cancellation

• Cancel anytime through Account Settings or support@porcia.org
• Access continues until end of billing period
• No prorated refunds for monthly plans
• Annual plans: Prorated refund if requested within 14 days

8. Customer Data

8.1 Ownership

You retain all rights to your Customer Data. Porcia does not claim ownership.

8.2 License to Porcia

You grant Porcia a license to use Customer Data solely to:

• Provide, maintain, and improve the Service
• Generate insights for your Workspace
• Provide customer support
• Comply with legal obligations

8.3 Aggregated Data License

You grant Porcia a license to use aggregated, anonymized data for:

• Improving vendor intelligence
• Providing pricing benchmarks
• Enhancing AI recommendations
• Publishing industry reports

Data will be fully anonymized. You may opt out by contacting privacy@porcia.org.

8.4 Your Responsibility

You are responsible for:

• The accuracy and legality of Customer Data
• Ensuring you have rights to submit data to Porcia
• Not submitting data that infringes third-party rights
• Maintaining your own backups

9. Intellectual Property

9.1 Porcia's IP

The Service is owned by Porcia and protected by intellectual property laws. All rights not expressly granted are reserved.

9.2 Your License

You receive a limited, non-exclusive, non-transferable license to use the Service for internal business purposes.

You may NOT:

• Copy, modify, or create derivative works
• Reverse engineer or decompile
• Resell or sublicense
• Remove proprietary notices
• Build a competing product

9.3 Feedback

If you provide feedback, you grant Porcia a perpetual, royalty-free license to use it without obligation.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties including:

• Implied warranties of merchantability and fitness for purpose
• Accuracy of vendor discovery, pricing benchmarks, or AI insights
• Uninterrupted or error-free operation
• Achievement of any particular result (cost savings, negotiation outcomes)

11. Limitation of Liability

11.1 Cap on Liability

Porcia's total liability shall not exceed the greater of:

(A) Amounts paid by you in the 12 months preceding the claim, or
(B) US $100

11.2 Exclusion of Damages

Porcia is not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, business, goodwill, or data
• Cost of substitute services
• Damages from AI outputs or negotiation outcomes

12. Indemnification

You agree to indemnify Porcia from claims arising from:

• Your use of the Service in violation of these Terms
• Your violation of applicable law or third-party rights
• Customer Data you provide
• Emails you forward without proper rights
• Your reliance on AI outputs without verification

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of India.

13.2 Informal Resolution

Before formal dispute resolution, contact legal@porcia.org and attempt informal resolution for 30 days.

13.3 Arbitration

Disputes shall be resolved by binding arbitration in accordance with Indian arbitration law.

13.4 Class Action Waiver

Disputes will be conducted only on an individual basis, not in a class action.

14. Term and Termination

14.1 Termination by You

Cancel anytime through Account Settings or support@porcia.org.

14.2 Termination by Porcia

We may suspend or terminate for:

• Violation of these Terms
• Non-payment after notice
• Harmful conduct
• Extended inactivity (12+ months)

14.3 Effect of Termination

• Access ceases immediately (or at end of billing period for voluntary cancellation)
• Data retained for 30 days for export
• After 30 days, data permanently deleted

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, DPA, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement.

15.2 Amendments

We may modify these Terms with 30 days' notice via email and/or in-app notification.

15.3 Severability

If any provision is unenforceable, the remaining provisions continue in effect.

15.4 No Waiver

Our failure to enforce any provision does not constitute a waiver.

15.5 Assignment

You may not assign these Terms without our consent. We may assign freely.

15.6 Force Majeure

We are not liable for failures due to causes beyond our reasonable control.
